EnrichlyAI is a business intelligence and discovery platform that provides comprehensive data enrichment services to help businesses and professionals discover, analyze, and connect with potential clients, partners, and market opportunities.

2.1 Core Services

Our Service includes, but is not limited to:

• Business Discovery: Advanced search and filtering capabilities to identify businesses based on industry, location, size, and other criteria
• Data Enrichment: Enhanced business profiles including contact information, company demographics, and operational details
• API Access: Programmatic access to our data and services for integration with your applications
• Analytics Dashboard: Tools for analyzing business data, generating insights, and tracking market trends
• Export Capabilities: Data export functionality in various formats (CSV, JSON, Excel)
• Saved Searches: Ability to save and monitor search criteria for ongoing intelligence gathering

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that negatively impact your use of the Service.

• Reselling: Resell, redistribute, or sublicense access to the Service without written permission
• Competitive Intelligence: Use the Service to build a competing product or service
• System Interference: Interfere with or disrupt the Service or servers/networks connected to the Service

4.2 Data Use Restrictions

When using data obtained through our Service, you agree to:

• Comply with all applicable privacy laws and regulations (GDPR, CCPA, etc.)
• Not use the data for discriminatory purposes
• Not combine our data with personal information in violation of privacy laws
• Respect opt-out and do-not-contact preferences
• Not use the data for identity theft, fraud, or other malicious purposes

4.3 Compliance with Laws

You are responsible for ensuring your use of the Service complies with:

• Anti-spam laws (CAN-SPAM, CASL, etc.)
• Privacy regulations (GDPR, CCPA, etc.)
• Data protection laws in your jurisdiction
• Industry-specific regulations applicable to your business
• Export control and sanctions laws

4.4 Reporting Violations

If you become aware of any violations of these Terms, please report them to abuse@enrichly.ai. We investigate all reported violations and take appropriate action.

5. Subscription and Billing

5.1 Subscription Plans

EnrichlyAI offers various subscription plans with different features, usage limits, and pricing. Current plans and pricing are available on our website at enrichly.ai/pricing. All fees are in U.S. Dollars unless otherwise specified.

5.2 Payment Terms

• Billing Cycle: Subscriptions are billed on a monthly or annual basis, depending on your selected plan
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
• Payment Methods: We accept major credit cards, debit cards, and other payment methods as specified on our platform
• Payment Processing: Payments are processed by our third-party payment providers (Stripe, PayPal)
• Authorization: By providing payment information, you authorize us to charge your payment method for all fees incurred

5.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will:

• Be communicated to you at least 30 days in advance
• Take effect at the start of your next billing cycle
• Not affect your current billing period
• Provide you the option to cancel before the new pricing takes effect

5.4 Refund Policy

Our refund policy is as follows:

• Monthly Subscriptions: Refunds are provided on a pro-rata basis if cancelled within 7 days of initial purchase
• Annual Subscriptions: Refunds are available within 30 days of initial purchase, minus usage fees
• Usage Overages: Additional usage fees are non-refundable
• Refund Processing: Approved refunds are processed within 10 business days

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• You will retain access until the end of your current billing period
• No further charges will be made after the current period ends
• Your account will be downgraded to a free account (if available)
• Saved data and settings will be retained for 90 days

5.6 Late Payments and Failed Charges

If a payment fails or is declined:

• We will attempt to charge your payment method up to 3 times
• You will receive email notifications about payment failures
• Your account may be suspended after 7 days of non-payment
• Your account may be terminated after 30 days of non-payment
• A late fee of $15 or 5% of the outstanding amount (whichever is greater) may be applied

5.7 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for payment of all such taxes, except for taxes based on our net income. If we are required to collect taxes, they will be added to your invoice.

5.8 Upgrades and Downgrades

• Upgrades: Take effect immediately; you will be charged a pro-rated amount for the remainder of the billing period
• Downgrades: Take effect at the start of the next billing period; no refunds for unused features

6. Intellectual Property Rights

6.1 EnrichlyAI Intellectual Property

The Service, including its original content, features, functionality, software, algorithms, user interface, design, logos, and trademarks, is owned by EnrichlyAI and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

EnrichlyAI and its licensors retain all rights, title, and interest in and to:

• The EnrichlyAI platform and software
• All data aggregation and enrichment algorithms
• Machine learning models and AI technologies
• API and integration technologies
• Documentation and user guides
• The EnrichlyAI brand, logo, and trademarks

6.2 Limited License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Service for your internal business purposes
• Download and use data retrieved through the Service in accordance with these Terms
• Use our API in accordance with our API Terms of Use

This license does not permit you to:

• Modify, copy, or create derivative works of the Service
• Distribute, sell, lease, or sublicense the Service
• Use the Service to develop competing products or services
• Remove or modify any proprietary notices

6.3 User-Generated Content

When you submit, upload, or create content through the Service (such as saved searches, notes, or custom configurations), you retain ownership of your content. However, you grant EnrichlyAI:

• A worldwide, non-exclusive, royalty-free license to use, store, and process your content to provide the Service
• The right to use aggregated, anonymized data derived from your usage for analytical purposes
• The right to display your content back to you through the Service

6.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you grant EnrichlyAI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

6.5 Copyright Infringement

We respect intellectual property rights. If you believe content on our Service infringes your copyright, please contact our Copyright Agent at dmca@enrichly.ai with:

• A description of the copyrighted work
• The location of the allegedly infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

6.6 Trademark Rights

EnrichlyAI, the EnrichlyAI logo, and other marks used by us are trademarks of EnrichlyAI, Inc. You may not use these marks without our prior written permission. All other trademarks, service marks, and trade names referenced in the Service are the property of their respective owners.

7. Data Usage and Ownership

7.1 Data You Provide

You retain ownership of all data you input into the Service, including:

• Search queries and filter criteria
• Saved searches and custom lists
• Notes and annotations you create
• Account settings and preferences

7.2 EnrichlyAI Data

Data provided by EnrichlyAI through the Service, including business profiles, contact information, and enriched data, remains the property of EnrichlyAI and/or our data providers. Your license to use this data is subject to:

• Your active subscription to the Service
• Compliance with these Terms and applicable laws
• The restrictions outlined in the Acceptable Use Policy
• Attribution requirements where specified

7.3 Data Portability

You may export data you've generated or retrieved through the Service in standard formats (CSV, JSON, Excel). Upon account termination:

• You have 90 days to export your data
• After 90 days, data may be permanently deleted
• We will provide reasonable assistance with data export upon request

7.4 Data Accuracy

While we strive to provide accurate and up-to-date information:

• We do not warrant the accuracy, completeness, or timeliness of any data
• Data is provided "as is" from various sources
• You are responsible for verifying data accuracy for your use case
• We update data regularly but cannot guarantee real-time accuracy

7.5 Aggregated Data

We may create anonymized, aggregated data from usage patterns and the Service. We retain all rights to use this aggregated data for:

• Improving the Service
• Creating industry benchmarks and reports
• Marketing and promotional purposes
• Research and development

This aggregated data does not identify you or your specific usage patterns.

7.6 Data Retention

• Respect rate limits and implement backoff strategies
• Use webhooks for real-time updates when available
• Monitor your API usage through the dashboard

8.5 API Modifications

We may modify, update, or deprecate API endpoints. We will provide:

• At least 90 days notice for breaking changes
• Migration guides for deprecated endpoints
• Version compatibility for at least 12 months
• Documentation updates with each API release

8.6 Overage Charges

If you exceed your plan's API limits:

• Additional requests may be throttled or blocked
• Overage charges apply as specified in your plan
• You will receive notifications when approaching limits
• You may upgrade your plan to increase limits

9. Disclaimers and Warranties

9.1 "AS IS" and "AS AVAILABLE" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ENRICHLYAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• ACCURACY, COMPLETENESS, OR TIMELINESS OF DATA

9.2 No Warranty of Accuracy

EnrichlyAI makes no warranty that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of any data, products, services, or information obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

9.3 Data Disclaimer

Business data provided through the Service is sourced from third parties and public sources. We do not guarantee:

• The accuracy of contact information
• The currency of business operating status
• The completeness of business profiles
• The validity of email addresses or phone numbers

9.4 Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or resources. EnrichlyAI:

• Does not endorse or assume responsibility for third-party services
• Is not liable for any damages or losses related to third-party services
• Makes no warranties about third-party content or services
• Is not responsible for third-party privacy practices

9.5 Availability Disclaimer

We strive for high availability but do not guarantee:

• Continuous or uninterrupted access to the Service
• Specific uptime percentages (except as specified in Enterprise SLAs)
• Availability during maintenance windows
• Prevention of all security breaches or data loss

9.6 Beta Features

Features designated as "beta," "preview," or "experimental" are provided for testing and feedback purposes. These features:

• May be unreliable or incomplete
• May be modified or discontinued without notice
• Are provided without warranty
• May not be subject to the same SLAs as production features

10. Limitation of Liability

10.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENRICHLYAI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION
• COST OF SUBSTITUTE GOODS OR SERVICES
• LOSS OF BUSINESS OPPORTUNITIES
• DAMAGE TO REPUTATION

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ENRICHLYAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Maximum Liability Cap

IN NO EVENT SHALL ENRICHLYAI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO ENRICHLYAI IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR
• ONE HUNDRED DOLLARS ($100 USD)

10.3 Exceptions to Limitations

The limitations in this section do not apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Gross negligence or willful misconduct
• Violations of applicable law that cannot be limited by contract
• Your indemnification obligations under these Terms

10.4 Essential Basis of the Bargain

You acknowledge that the disclaimers and limitations in these Terms reflect a reasonable and fair allocation of risk between you and EnrichlyAI, and that these limitations are an essential basis of EnrichlyAI's ability to make the Service available to you at the fees charged.

10.5 User Responsibility

You acknowledge that you are solely responsible for:

• How you use data obtained from the Service
• Decisions made based on the Service
• Compliance with applicable laws in your use of the Service
• Maintaining backups of your data
• Securing your account credentials

11. Indemnification

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless EnrichlyAI, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Any content you submit or transmit through the Service
• Your use of data obtained from the Service
• Any unauthorized access to or use of your account

11.2 Indemnification Procedure

If we seek indemnification from you:

• We will promptly notify you in writing of any claim
• We will provide reasonable cooperation in the defense
• You will have sole control of the defense and settlement (with our consent, not to be unreasonably withheld)
• We reserve the right to participate in the defense at our own expense
• You may not settle any claim without our prior written consent

11.3 Examples of Indemnifiable Claims

Without limitation, you will indemnify us for claims arising from:

• Sending spam or unsolicited communications using our data
• Violating privacy laws (GDPR, CCPA, etc.) in your use of the Service
• Infringing third-party intellectual property rights
• Breaching your own terms of service using data from our Service
• Making false or misleading statements based on our data
• Using the Service for fraudulent or illegal purposes

11.4 EnrichlyAI Indemnification

EnrichlyAI will indemnify you against third-party claims that the Service, when used in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark. This indemnification is subject to:

• You promptly notifying us of the claim
• You providing us sole control of the defense and settlement
• You providing reasonable cooperation

This indemnification does not apply if the claim arises from:

• Your modification of the Service
• Your combination of the Service with other products or services
• Your use of the Service in violation of these Terms
• Your use of third-party content or data

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Accessing your account settings and selecting "Delete Account"
• Contacting customer support at support@enrichly.ai
• Cancelling your subscription and requesting account closure

Upon termination by you:

• Your access to the Service will cease at the end of your current billing period
• You will not receive a refund for unused time (except as provided in our refund policy)
• Your data will be available for export for 90 days
• After 90 days, your data may be permanently deleted

12.2 Termination by EnrichlyAI

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Non-payment of fees
• Fraudulent activity or suspected fraud
• Abuse of the Service or other users
• Violation of applicable laws
• Upon your request
• Extended periods of inactivity (12+ months)
• Threat to the security or integrity of the Service

12.3 Effect of Termination

Upon termination of your account:

• All rights granted to you under these Terms will immediately cease
• You must immediately stop using the Service
• You must delete any data you have exported from the Service (if termination is due to your breach)
• You remain liable for all fees incurred prior to termination
• Sections of these Terms that by their nature should survive termination will continue to apply

The following sections survive termination of these Terms:

• Section 7 (Data Usage and Ownership)
• Section 9 (Disclaimers and Warranties)

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13.3 Mandatory Arbitration

Except for disputes that may be brought in small claims court, you and EnrichlyAI agree to resolve any disputes through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

The arbitration will be conducted by a single arbitrator and will take place in San Francisco, California. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction.

13.4 Class Action Waiver

YOU AND ENRICHLYAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION.

Unless both you and EnrichlyAI agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

13.5 Exceptions to Arbitration

Either party may seek the following relief in court without first engaging in arbitration:

• Injunctive or equitable relief to protect intellectual property rights
• Claims that may be brought in small claims court
• Enforcement of the arbitration agreement

13.6 Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

13.7 Opt-Out of Arbitration

You may opt out of the arbitration agreement by sending written notice to legal@enrichly.ai within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

13.8 International Users

If you are accessing the Service from outside the United States:

• You acknowledge that your data may be transferred to and processed in the United States
• You consent to the jurisdiction of U.S. courts as specified in these Terms
• You agree to comply with all local laws regarding online conduct and acceptable content

14. Changes to Terms

14.1 Right to Modify

EnrichlyAI reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We will make reasonable efforts to notify you of material changes.

14.2 Notification of Changes

When we make changes to these Terms, we will:

• Update the "Last Updated" date at the top of this page
• Send you an email notification to your registered email address (for material changes)
• Display a prominent notice on the Service (for material changes)
• Provide at least 30 days' notice for changes that materially reduce your rights

14.3 Acceptance of Changes

Your continued use of the Service after changes to these Terms take effect constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
